I would get the latest update for the mobo software and the BIOS before making the switch. Other than that it should be pretty routine.  Make sure you have an appropriate heatsink/fan for the 800 mhz cpu.  I just took a slot 1 800 PIII from a Tyan mobo and replaced it with a 1ghz PIII slot 1.  Not even a sneeze.  I still have the 800 in my stuff closet.
