You need the software on the CD for Win 98 SE, but not for Win 2k or Win XP.
Costco on-line has a couple of those devices on sale right now as
well. One of them is 128MB and the other is 256MB. I don't remember the
prices, but they were better than the price for the 128MB Sony I got at
Christmas.
