ATI All-In-Wonder 128 PRO on MSI-6339 mobo

I have built my new P4, 1.7 Ghz with Windows ME, MSI-6339 mobo and ATI All-In-Wonder 128 PRO AGP card.  When I install audio driver that comes with the MSI package,  monitor turns off and the system hangs up.  Seems there is a conflict between ATI and MSI drivers.  The latest I did was not to install the MSI audio package and the system is working OK.  Anybody who can enlighten me on this.
