When I run into this problem I just format the drive (without the
/S) and then SYS the drive. Just make sure the SYS.com file is on
your boot floppy.

You may still have some luck by manually loading the himem.sys &
emm386.exe
on your floppy.
The easiest way to configure this is to use the memmaker utilities.
 If you
have to you can use the
version from 6.xx msdos, just replace the himem.sys & emm386.exe
with win9x
versions. Once
you've done this you should be able to format the HD.

Booting from Win 95 osr 2 floppy downloaded from freepctech. Goes
through the usual chain of format questions after using "/s"
switch, and
then comes back with the "insufficient memory" response when it
tries to
format.
