No, not unless you wish to reformat it as a FAT32 volume. You can either upgrade
(if you have the upgrade W98 CD), or erase (format) the disk and install clean.
Many will tell you that upgrading from an older OS does not always go perfectly,
and the system may be less stable than a clean install. However, it will
preserve your settings and applications.

W98 supports both FAT16 and FAT32 just fine, even a mixture of disks with both
formats, so what you propose would work just fine. However, installed
applications will likely need to be re-installed because of the change in drive
letter.
You could also use a commercial application like Norton Ghost to make a copy of
the old drive to the new. There are many ways to do this.
